8-K: the material events
US companies file an 8-K with the SEC when something material happens: results (item 2.02), a material contract (1.01), an executive change (5.02) or a restatement (4.02). The item number says a lot about how important it is.
Form 4: what insiders do
Directors and executives report their trades on Form 4. An open-market purchase is usually a stronger signal than a sale, especially if the sale is part of a pre-arranged 10b5-1 plan.
Federal contracts and releases
For aerospace, defense and energy, federal contracts (USAspending) and company press releases can move a stock, especially for smaller companies where one contract is large relative to revenue.
